Integration

How the group companies work together

How seemingly disparate disciplines integrate into a single value platform.

There is an order behind all of this

Picture, by way of illustration, the quarterly meeting of the buyers' Representative Committee at a residential resort under construction. The engineer reports 62% physical progress. The finance lead shows 48% of the budget disbursed. Commercial curation celebrates 70% of the units under signed contract. All three figures can be right at once, and still nobody in the room can say whether the remaining works fit the remaining cash.

Brazilian law puts that conversation on a fixed calendar. A developer who adopts the ring-fenced estate (the patrimônio de afetação) must hand the Committee, at least every three months, a statement on the state of the works. Signed by licensed professionals, it has to show whether progress matches the agreed schedule or the funds received in the period. The duty sits in article 31-D of Law 4,591/1964, the statute on real estate developments. Without ever using the word, it describes an ecosystem: engineering, finance and buyers discussing the same data, at the same pace.

Talent is rarely what a complex development lacks. What it lacks is the seam. Value leaks through the drainage design the landscape team never saw, the schedule that never reached the cash flow model, the hotel agreement drafted after commercial curation had already set expectations. This article shows how these disciplines come together, what that can be worth and when the numbers do not close.

Integration starts with the legal structure, not with software

The first link is how the development exists in the eyes of the law. Under article 31-A of the development statute, the land, the buildings and the rights tied to the project can be held apart from the developer's own assets, reserved for completing the works and delivering the units. For buyers, this means the developer's debts from other ventures cannot reach that project. For management, it means a dedicated bank account, full bookkeeping and open access to the site, the books and the contracts for the inspector appointed by the Committee or the lending bank.

The legal choice also settles the tax bill. The same 2004 statute that brought ring-fencing into the development law created the Special Taxation Regime, known as RET, and made it conditional on ring-fencing. Under RET, the project pays the equivalent of 4% of monthly receipts as a single payment covering corporate income tax and three federal contributions (CSLL, PIS/Pasep and Cofins). The election is irrevocable while obligations to buyers remain, and the consolidated text already refers to CBS and IBS, the new consumption taxes. Deciding ring-fencing, tax regime and financial modelling at separate tables is the shortest route to learning, too late, that one choice has locked another.

Engineering, cash and commercial curation must read the same number

The second layer is information. If engineering tracks progress in one spreadsheet, finance projects cash in another and commercial curation follows absorption in a third, the quarterly statement becomes a reconciliation exercise. It is rebuilt by hand every quarter, and each version risks telling a different story.

Real integration works differently. Measuring a completed stage updates the schedule, which updates the disbursement curve, which updates cash and the need for credit. In the other direction, the pace of commercial absorption tells you how fast the works can move without draining cash. When the Platform records all of this on a single base, the statement the law requires stops being a chore and becomes a query.

The value of a complex development does not live in any single discipline. It lives in the seams between them, and only whoever governs the seams captures that value.

The digital model is the common language of design, construction and operation

Brazil's federal government has already written this vocabulary into regulation. The decree on the national BIM strategy defines BIM as the processes and technologies that let participants create, update and share digital models of a building collaboratively across its whole life cycle. It also encourages open technical specifications, so that the model is never hostage to a single contractor's software.

Decree 10,306/2020 shows the order in which integration matures on high-priority federal works. Since 2021, architecture and engineering have been modelled with clash detection between disciplines. Since 2024, cost estimating, construction control and the as-built model have joined in. From 2028, the model also serves the maintenance of the finished building. The rule binds public bodies, not private developers, yet it offers a tested roadmap: design first, then construction, then operation, where hospitality and maintenance depend on what was modelled years earlier.

Data and contracts settle who decides and who answers

Integrating disciplines means integrating personal data. A buyer's file moves from commercial curation to finance, to the registry, to the property manager and, where there is a hotel, to the operator. Brazil's General Data Protection Law separates the controller, who decides how data is processed, from the processor, who handles it on the controller's behalf, and limits each use to what is strictly necessary. On the Platform, that becomes role-based access profiles and a trail of who viewed what. Without that design, integration builds a silent liability.

The contract closes the loop. Article 421-A of the Civil Code lets the parties set objective parameters for interpreting and revising clauses, and requires the risk allocation they agree to be respected. In plain terms, delivery milestones measured on the same base that feeds schedule and cash, plus a matrix stating who absorbs each risk, carry the force of law between the parties. For building contracts, the same code keeps the contractor who supplies materials and labour liable for five years for the soundness of the work. That is why whoever will maintain the building should have a say in what gets built.

A hotel with investors demands one story, for years

When a development includes a condominium hotel and promises buyers a share of operating results, integration stops being a management preference. CVM Resolution 86/2022, already amended in 2024, treats that arrangement as a collective hotel investment contract under the securities regulator's oversight. Registering the offering requires, among other documents, a feasibility study by an independent professional or firm, statements from the officers of the offeror and of the hotel operator, and the templates of every contract.

Once the hotel opens, the operator must publish annual financial statements audited by an independent auditor registered with the CVM within 90 days of year end. For the first three quarters of each year, it releases statements with a special review within 45 days. Engineering, hospitality, legal, commercial curation and audit must build a coherent story before the offering and sustain it quarter after quarter.

Time is the currency in which fragmentation sends its bill

Disconnected disciplines fail on schedule first. A design clash found on site becomes rework, rework becomes months and months become financing cost on all the capital at stake. Brazil's Selic policy rate stood at 13.75% a year on September 30, 2026, according to series 432 of the Central Bank's time-series system. At that price of money, a single month of delay can outweigh many of the savings negotiated contract by contract.

There is also a cost that never reaches the ledger. High-end buyers notice when marketing promises a service the design cannot deliver, or when the delivery date shifts without explanation. That perception turns into discounts, slower absorption and a worn reputation. Coordination is a commercial asset, not merely a technical one.

Worked example: nine disciplines under two coordination models

The figures below are InnovaSphere hypotheses chosen to illustrate the mechanism, not market data. Gross development value (GDV) is R$ 100 million and construction costs R$ 55 million. During a delay, average capital at stake is R$ 30 million, at 1.1% a month in simple interest, a rounding of the 13.75% annual Selic (about 1.08% a month when compounded). The last column is the stress test: rework falls only to 3%, delay only to three months, the discount does not improve and coordination costs twice as much.

Item (hypothesis, R$ million)SiloedIntegratedIntegrated, stressed
Rework from clashes found on site (% of construction cost)4.0%: 2.201.5%: 0.833.0%: 1.65
Delay (months × 1.1% × R$ 30 million)5 months: 1.651 month: 0.333 months: 0.99
Commercial discount for uncertainty (% of GDV)2.0%: 2.000.5%: 0.502.0%: 2.00
Central coordination and Platform (% of construction cost)Diluted: 01.0%: 0.552.0%: 1.10
Total losses and costs5.852.215.74

In the base case, the gap is about R$ 3.6 million, or 3.6% of GDV. Every real spent on coordination avoids roughly R$ 7.6 in losses, and coordination costs less than two months of interest on the capital at stake. If it prevents only that, it has paid for itself. Compounded monthly, five months of delay would cost R$ 1.69 million rather than R$ 1.65 million, and the conclusion holds.

The stress test tells the other half of the story. With smaller gains and double the cost, the advantage shrinks to R$ 0.11 million, effectively a tie. Integration pays for itself through avoided delay and rework, not through a promised price premium. The simulator alongside this article turns the same intuition into a multiplier that grows with the number of integrated disciplines. The table isolates only the auditable share, so it is a floor, not a ceiling.

When it does not pay off

Sometimes an integrated ecosystem costs more than it returns. The first case is the simple project: few disciplines, a standard typology and an in-house builder that already masters the process. The interfaces are few and well known, and a central layer adds fixed cost without removing material risk.

The second is integration for show. The Platform arrives without decision rights, without data fed by each team and without contracts that tie milestones to the shared measurement. The project pays for the tool, keeps coordinating by phone and spreadsheet and gains a false sense of control, which is worse than none.

The third is integration that tramples independence. At specific points, the law wants someone outside the line of execution. That is the role of the inspector the Committee may appoint under article 31-C of the development statute, of the independent feasibility study and of the registered auditor the CVM requires for hotels. Pulling those functions into the chain of command that executes destroys the value they exist to protect. Integrating the data does not mean integrating the judgment.

Checklist for integrating the disciplines of your development

Within the group, some of these fronts have their own home and work alongside the others, not in their place. InnConta handles tax, credit and compliance; IncorpBuilding runs engineering with physical and financial measurement and a native digital twin; Valida Auditoria performs independent audits with a dedicated scope for high-end real estate. Whoever executes, the list holds.

  1. Decide with legal and accounting, before launch, whether to ring-fence the project and elect RET, already factoring in CBS and IBS.
  2. Open the dedicated account for the ring-fenced estate, with its own chart of accounts and books.
  3. Define the shared digital model, the open exchange format and the clash detection routine.
  4. Link schedule, measurement and cash flow on a single base, so the quarterly statement needs no manual reconciliation.
  5. Map with the data protection officer who is controller and who is processor in each flow, and limit every access to what is necessary.
  6. Write objective milestones, a measurement criterion and a risk matrix into every contract.
  7. Protect, together with the Representative Committee, the independence of whoever inspects, audits and prepares the feasibility study.

Frequently asked questions about integrating disciplines

Is the ring-fenced estate mandatory?

No. The development statute leaves it to the developer's discretion. It is, however, a prerequisite for RET and it organizes the information governance an integrated ecosystem needs.

Does integration mean hiring everything from one supplier?

No. Integration is a matter of governance and data. Separate contracts, each with clear responsibility, can run on the same base and under the same decision center. In audit and in the feasibility study, separation is a requirement of independence.

Does the Platform replace the BIM model?

No. The BIM model represents the building; the Platform connects it to schedule, cash, commercial curation and operation. Open specifications make that connection possible without depending on one contractor's software.

How does data protection law affect buyer data?

Each flow needs a defined purpose, an identified controller and processors who follow its instructions, with a record of operations. Each team sees what it needs to do its part.

Is the simulator's multiplier a promise of appreciation?

No. It illustrates synergy. The worked example shows the measurable floor under stated hypotheses, and the stress test shows how thin that floor can get. The real result depends on execution and on the market.
